1. INCORPORATION AND SCOPE
1.1. These Standard Terms and Conditions ("Content Creation Terms") are expressly incorporated by reference into the Content Creation and Assignment Agreement executed between SOK BEAUTY SALON LTD ("Company") and the Creator.
2. INTELLECTUAL PROPERTY ASSIGNMENT
2.1. Absolute Assignment: Upon receipt of full consideration, the Creator hereby unconditionally, irrevocably, and absolutely assigns, transfers, and conveys to the Company all present and future copyrights, title, and intellectual property rights in and to the Deliverables (including all raw footage and edited files) in perpetuity and throughout the universe, free from any encumbrances.
2.2. Statutory Compliance: This assignment is executed pursuant to Article 11 of the Cyprus Copyright and Related Rights Law (Law 59/1976). The Company shall be the sole and exclusive owner of the Deliverables and may exploit them across all advertising channels (Meta, TikTok, website) without further compensation to the Creator.
3. STRICT WARRANTIES REGARDING THIRD-PARTY IP
3.1. The Creator represents and warrants that the Deliverables are entirely original and do not contain any unauthorized third-party materials.
3.2. Music & Audio: The Creator specifically warrants that no copyrighted commercial music, sound effects, or unlicensed audio tracks have been embedded in the Deliverables. Only royalty-free music pre-approved in writing by the Company may be utilized.
4. EXPLICIT AI MODIFICATION CONSENT
4.1. The Creator expressly grants the Company the right to process the assigned Deliverables and the Creator’s Likeness using generative Artificial Intelligence (AI).
4.2. The Company may substantially alter the Creator's body shape, facial features, and background environments for targeted advertising and virtual fitting room optimizations, provided such use does not constitute defamatory or non-consensual sexually explicit imagery (NCII). The Creator consents to the application of mandatory AI-transparency watermarks.
5. NON-ASSERTION OF MORAL RIGHTS
Acknowledging that moral rights cannot be strictly waived under Cyprus Law 59/1976, the Creator irrevocably covenants and legally binds themselves not to assert, institute, or maintain any action claiming infringement of moral rights (including paternity and integrity) against the Company for any editing, AI-modification, or commercial use of the Deliverables.
6. INDEMNIFICATION
The Creator shall fully indemnify and hold the Company harmless against any copyright strikes, third-party intellectual property claims, or legal costs arising from the Creator's breach of Section 3 (Third-Party IP), ensuring the Company suffers no loss from utilizing the assigned Deliverables.
7. INDEPENDENT CONTRACTOR
The Creator acts as an independent contractor. The Company exerts no control over the Creator's working hours, location, or methods of production. The Creator is solely responsible for all tax liabilities and social contributions related to the consideration received.
8. GOVERNING LAW
These UGC Terms are governed by the laws of the Republic of Cyprus. Exclusive jurisdiction is granted to the courts of Nicosia, Cyprus.
